Foundry terms

Expression-of-interest and selection terms.

FactoryTender Foundry is a separate program operated by SachetsCo Pty Ltd, ABN 24 628 241 501. These terms apply to the public application and initial selection process only.

Effective from 5 September 2026, revision 2. A validation sprint, paid engagement, licence, supply arrangement or NewCo requires separate signed documents. These public terms do not replace legal, tax or financial advice for a later transaction.

1. Operator and scope

FactoryTender Foundry is operated by SachetsCo Pty Ltd, ABN 24 628 241 501. FactoryTender is not a separate company. These terms govern use of the Foundry pages, submission of an expression of interest and initial assessment.

2. Expression of interest only

An application, acknowledgement, interview, discussion or shortlist is non-binding and is not an offer of employment, contracting work, funding, shares, investment, manufacturing capacity or company formation. It creates no partnership, joint venture, agency, fiduciary relationship, equity, profit right or authority to bind another person.

3. Eligibility, authority and accuracy

Applicants must be at least 18, provide materially accurate information, have authority to submit it and promptly correct material errors. Applicants must disclose restrictions or conflicts that could affect their proposed work, including employment, IP, non-compete, customer and supplier obligations.

4. Application information and intellectual property

Submit only non-confidential information you own or are authorised to disclose. Do not submit source code, credentials, formulas, unpublished patent material, customer lists, private datasets, financial account details or third-party confidential material. Each party retains its existing intellectual property. An application grants SachetsCo only the limited permission reasonably needed to assess, administer and verify the expression of interest.

5. No speculative unpaid production work

The five-minute public application asks for existing evidence, not a productive unpaid prototype. Any later productive validation work must be covered by a separate written agreement identifying the payer, compensation, scope, independence, background IP, project work, confidentiality, data access, milestones, acceptance criteria, decision rights and exit.

6. No applicant money through the website

The application has no fee and the website does not accept or pool investment money. Do not send bank statements, identity documents or funds. No contribution is requested at the public application stage. Any later funding discussion would be private, subject to appropriate advice, documented separately and paid only to the properly identified recipient after the applicable structure exists.

7. Possible commercial routes

A shortlisted project may be considered for a limited funded validation sprint, separately priced licence or services agreement, independent-brand supply relationship or separate NewCo. A NewCo is not the starting point and is not required for the independent-brand or supplier/licence routes. SachetsCo expects to retain majority ownership of an approved NewCo. Exact contributions, ownership, founder vesting, funding caps, governance, IP, manufacturing pricing, distributions and future dilution must be negotiated privately and exist only under signed definitive agreements.

8. Selection and verification

SachetsCo may assess execution, traction, technical quality, customer acquisition, commercial judgement, availability, manufacturing fit, integrity, references, conflicts, legality, safety and capacity as relevant to the proposed role. Technical delivery, commercial operations and funding may be provided by different people. A private funding-plan discussion concerns the payer, costs and cash requirements; applicants are not required to personally invest to be considered for technical or commercial work. Retained raw scores do not rank different roles or automatically determine an outcome. SachetsCo may pause, decline or close an application and is not required to disclose internal comparisons or confidential reasons.

9. Marketplace separation

Foundry is separate from FactoryTender's sourcing and tender service. Applicants receive no access to buyer briefs, manufacturer applications, bids, formulas, drawings, pricing or other confidential marketplace material. Applying does not affect marketplace verification, ranking, invitations or selection. SachetsCo manufacturing remains excluded from bidding while FactoryTender's opening marketplace-pilot rule is in effect. Any future change must be disclosed before it takes effect and cannot repurpose prior confidential submissions.

10. No guaranteed outcome

No application, interview, validation result, manufacturing feasibility, funding, production, company formation, sales, profit, valuation, distribution or return is promised. The first pilot is limited to a customer-supplied, already-approved dry-powder product. Production depends on the exact product, used material and packaging lots, applicable COAs, shared cleaning and allergen controls, line results, finished-product quality, MOQ, capacity, costs, funding, insurance, classification and regulatory review. Unrelated stock holds do not prevent initial discovery, but all holds affecting the pilot must be resolved before production.

11. Privacy and retention

Foundry application information is handled under the current privacy policy. Inactive or unsuccessful applications are reviewed 180 days after submission and deleted within 30 days of that review unless retention remains reasonably necessary for an active process, legal obligation, dispute, security matter or documented business record. A stated referee will be contacted only after the applicant gives separate express authority.

12. Governing law and contact

These terms are governed by New South Wales law and applicable Australian federal law. Questions, corrections, withdrawals and concerns may be sent to info@factorytender.com.
